Terms of Service
These terms apply to individually agreed advisory and coordination services for businesses and private clients. Individual agreements take precedence. These terms are provided before contracting and become part of an engagement when agreed. A website enquiry alone creates no payment obligation.
Provider and scope
LM Project Advisory UG (haftungsbeschränkt)
Frauenthal 7
20149 Hamburg
Germany. LM Project Advisory provides business and project advisory services and organisational coordination. It does not provide legal, tax, audit or other regulated professional services. Appropriately qualified external professionals provide required specialist services under their own responsibility. We do not act as a corporate officer for clients or provide regulated financial, investment, insurance, brokerage, fiduciary or payment services. The engagement covers agreed activities; no particular commercial outcome, authority decision or result of proceedings is promised.
Free initial conversation
New prospective clients receive one free 30-minute initial conversation. We arrange the time and preferred contact method personally. Paid work requires a separate scope and price agreement. The seasonal offer on the pricing page creates neither an automatic appointment nor a subscription.
Engagement and cooperation
We discuss whether one-off hourly support or ongoing assistance fits the task. The offer or contract sets the scope, service start, time budget, term and fees. Clients provide necessary accurate information promptly. Deadlines and powers of attorney are agreed specifically. External professionals retain responsibility for their own specialist decisions.
Prices and time budgets
The hourly rate is €120.00 excluding VAT / €142.80 including 19% VAT. Monthly packages include 3, 9 or 18 hours for €357.00, €1,071.00 or €2,142.00 including VAT (€300.00, €900.00 or €1,800.00 excluding VAT). Advice, preparation, agreed correspondence, document work and coordination use the same budget. Unused monthly time does not roll over during the engagement. The budget reserves service capacity for the relevant period; work not actually carried out is not represented as completed. Mandatory refund and non-performance rights remain unaffected.
Additional work and updates
Additional work requires prior approval in text form of its scope and price and uses the stated hourly rate. Actual additional time is totalled for the billing month and only the total is rounded up to the next 15 minutes, not each call or email. We maintain internal activity and time records, provide task status updates and explain work on request. Regular detailed itemised reports require a separate agreement.
Billing periods and monthly engagement
The billing month starts on the agreed service date, not necessarily the first calendar day. Subsequent periods follow that date and the statutory calculation of time limits. The initial minimum term is one billing month. The engagement then continues indefinitely with monthly billing. Notice in text form, including email, received at least 14 days before the current billing month ends terminates it at that end. After the initial term, termination is possible at any time on no more than one month’s notice from receipt, including a date within a billing period. The same arrangement applies to businesses and consumers. Notice may be withdrawn by agreement before it takes effect. Restarting after termination requires a new agreement.
Annual engagement
The initial term is twelve months. The entire annual fee is paid upfront with a 20% discount: €3,427.20, €10,281.60 or €20,563.20 including VAT (€2,880.00, €8,640.00 or €17,280.00 excluding VAT). Monthly budgets remain 3, 9 or 18 hours. Any monthly equivalent is for comparison and is not a monthly payment option. The annual engagement ends automatically after twelve months. Renewal or changing the model requires a new express agreement. Ordinary early termination during the agreed annual term is not offered; statutory withdrawal, extraordinary termination and other mandatory rights remain.
Termination and goodwill credit
Unused time alone does not create a refund entitlement for correctly provided, elapsed monthly capacity. Where an advance payment covers a period or service left without a lawful basis at the actual end, the legally required settlement and any refund are made. In addition, one third of unused remaining paid time that has not been refunded is granted as a goodwill credit, rounded down to whole minutes, valid for twelve months after termination. For example, 60 remaining minutes yield 20 minutes. It can be used for our later services and is not redeemable in cash. It does not replace statutory rights.
Invoices, payment and service start
We issue the invoice for the full amount within the first five working days after the agreed service start, and after each subsequent billing period begins. Payment is due within five working days after receipt. Here working days mean Monday to Friday excluding public holidays at our registered office. Earlier payment is possible. Work starts on the agreed contract date without waiting for payment. If payment is outstanding, agreed work continues while we send reminders and, where appropriate, formal demands. Default and its consequences follow the law; mandatory rights remain.
External services and expenses
Translations, specialist advice, administrative fees, travel and other extras are agreed by category and total cost before commissioning. Our organisational services and agreed markups are included in the offer; internal margin calculations are not a separate deliverable. Lawyers, notaries and other independent professionals provide and invoice their specialist services separately; our actual coordination is shown separately. A category-based cost summary may show the total but does not replace required third-party invoices. Where agreed and financially feasible, we may advance approved expenses; otherwise a separate advance is agreed. Tax treatment follows the actual legal nature of each cost.
Confidentiality, data and authority
Both parties use confidential project information only for its purpose. Necessary sharing with specialists and competent bodies follows the engagement, lawful basis and any separate power of attorney. See the privacy policy for data processing. AI-assisted preparation currently uses only effectively anonymised content with human review. Identifiable data is used only after a separate assessment of permitted processing.
Consumer rights and liability
Statutory withdrawal rights may apply to consumers entering distance or off-premises contracts. The withdrawal instructions and model form are supplied before contracting. Starting paid services early requires an express request and the required information; a contract signature alone is insufficient. These terms do not exclude statutory liability, warranty rights, extraordinary termination or mandatory consumer protection.
Governing law
German law applies, without depriving consumers of applicable mandatory protection in their country of habitual residence. Statutory jurisdictions remain unaffected. Last updated: 16 October 2026.
